Studio Dome Distribution and Sales Terms

Effective Date: November 5, 2026

Operated by: Entertainment Squad, LLC d/b/a Studio Dome ("Studio Dome," "Distributor," "we," "our," or "us")

These Distribution and Sales Terms ("Agreement") govern the submission of motion pictures and audiovisual works ("Pictures") by content owners, producers, and distributors ("Content Provider," "Producer," "you," or "your") for distribution through the Studio Dome platform and associated channels. By uploading, submitting, or otherwise offering a Picture to Studio Dome, you agree to be bound by these Terms.

1. Grant of Rights

You grant Studio Dome the exclusive right to distribute, sell, license, sublicense, and exhibit your Picture during the Term Period, throughout the Territory, in all formats and rights, as defined according to IFTA™ latest publication of International Standard Terms and Definitions.

You retain full ownership of your Picture.

2. Territory

Unless otherwise limited by you at submission, the Territory is the World on an exclusive basis, as defined according to IFTA™ latest publication of International Schedule of Territories.

You may request excluded territories or specific rights carve-outs during submission.

3. Term and Renewal

The initial term is one (1) year from the initial release of the Picture in the Territory (the "Initial Period").

After the Initial Period, the term shall continue until terminated by either party with at least sixty (60) days prior written notice.

4. Sales and Distribution Fee

4.1 Distribution Fee

Studio Dome shall collect a fee of 20% of gross receipts collected from exploitation of the Licensed Rights ("Distribution Fee").

The Distribution Fee is waived on gross receipts from platforms and channels owned and operated by Studio Dome, including BloodStream.

All foreign deals and any deals involving flat or upfront license fees shall be pre-approved by you.

4.2 Recoupable Expenses

No costs shall be deducted from gross receipts unless otherwise approved by you in writing (electronic approval is acceptable). Approvals shall not be unreasonably withheld. You shall make best efforts to provide approvals promptly, especially during releases, markets, and festivals.

Recoupable Expenses shall not be crossed between Pictures.

4.3 Disbursement of Gross Receipts

Gross receipts shall be disbursed in the following order:

  1. First, Studio Dome shall collect any Distribution Fee due under Section 4.1 and recoup any approved Recoupable Expenses;
  2. Last, all remaining gross receipts shall be paid to you.

5. Delivery Requirements

You agree to make Complete Delivery of the Picture in accordance with Studio Dome's Delivery Checklist no later than ninety (90) days following the execution of this Agreement ("Delivery Deadline").

Studio Dome is not obligated to schedule the release any earlier than one hundred and twenty (120) days following Complete Delivery.

Delivery requirements include, upon request or upload:

  • High-quality video files (MP4 or MOV, 16:9, ≥ 12 Mbps at 1080p)
  • English closed captions (SRT or VTT)
  • Key art in 2:3 and 16:9 ratios
  • Metadata (title, synopsis, year, cast/crew, runtime, genre, rating)
  • Any additional materials specified in the Delivery Checklist

Delivery may be by link, FTP, Studio Dome Uploader, or another method we specify.

6. Reporting and Payment

You shall receive secured log-in access to Studio Dome's real-time reporting portal.

  • Payments are disbursed on a quarterly basis, within 45 days following the end of each calendar quarter, beginning with the calendar quarter of the Picture's initial release.
  • Each report lists: title, revenue type, deductions, and payable amount.
  • If the amount due is less than $100 USD, Studio Dome may defer payment to the following payment period.
  • Unless instructed otherwise, payment shall be made by check or ACH to the payee details you supply.

7. Credits

If requested by platforms and/or to increase the Picture's revenue on advertising-based platforms, Studio Dome may move all opening logos to the end of the Picture, following the end credits.

Studio Dome shall have a customary presentation credit at the beginning of the Picture in the form "Studio Dome Presents" or a similar credit as mutually agreed.

8. Promotion and Marketing Use

Studio Dome may use short clips of the Picture for marketing purposes. Clips may be edited or presented vertically (9×16 format) for promotion on social media and mobile platforms.

Your film title, artwork, and logo may appear in curated features, newsletters, or festival showcases.

All promotional use is royalty-free and limited to advertising your Picture or the service.

9. Auditing

Once during each calendar year, you may audit the books and records of Studio Dome regarding the Picture using qualified public accountants, upon at least two (2) months prior written notice.

If the audit falls during a film market or festival, Studio Dome may delay the audit until two (2) weeks after its conclusion.

If the audit uncovers an undisputed or later established underpayment of more than five percent (5%) of the amount shown due, but no less than $5,000, then Studio Dome will pay the reasonable audit costs of uncovering the underpayment.

10. Third Party Payments

You will be solely responsible for making timely payments to all parties rendering services or materials to the Picture, including all profit participations, guild and union residuals, royalties and reuse fees, and music clearance fees. Studio Dome will not be responsible for such payments.

You agree to execute on demand any side-letter required by any applicable guild or union necessary to allow any collecting organization to collect or pay Royalty Income for the Picture.

Studio Dome shall provide you with the reports deemed necessary to report and/or calculate guild and union residuals.

If residuals are required, Studio Dome shall set aside 6.2% of gross receipts ("Residuals Set-Aside"). The procedures to calculate and distribute residuals shall be added to this Agreement in a Residual Rider.

11. Representations and Warranties

You represent and warrant that:

  1. You own or control all rights necessary to license the Picture;
  2. The Picture does not infringe or violate any copyright, trademark, or privacy right;
  3. All required releases, music licenses, and union obligations are satisfied;
  4. The Picture contains no unlawful or defamatory material; and
  5. You have the authority to enter into this Agreement and grant the rights herein.

Studio Dome will employ commercially reasonable technical and DRM measures to protect your content and will not distribute it beyond the agreed platforms without your consent.

12. Indemnification

You agree to defend, indemnify, and hold harmless Entertainment Squad, LLC and its affiliates against any claim or expense arising from breach of your warranties or your Picture's exhibition.

13. Confidentiality and Non-Disparagement

Without the other party's prior written consent, neither party shall disclose to any third party any information with respect to the financial terms and provisions of this Agreement, except:

  • (a) to the extent necessary to comply with the requirements of any guild or union;
  • (b) to the extent necessary to comply with the law or a valid court order, in which event the disclosing party shall notify the other party as promptly as practicable and seek confidential treatment;
  • (c) as part of normal reporting or review procedures to parent companies, agents, auditors, and/or attorneys who agree to be bound by this section; and
  • (d) in order to enforce rights under this Agreement.

Parties mutually agree not to make any false, disparaging, or derogatory remarks about the other party, whether oral or written, including about its representatives or members.

You further agree that the Studio Dome system, including its designs, screenshots, videos, and any other copyrighted materials, is confidential and proprietary to Studio Dome. You shall not share, reproduce, or distribute such materials with any third parties, including potential competitors, without prior written approval.

14. Dispute Resolution

Any dispute arising under this Agreement will first be addressed through good-faith voluntary mediation.

If mediation fails, the dispute shall be submitted to binding arbitration under the IFTA™ Rules for International Arbitration ("IFTA™ Rules") in the forum of Los Angeles County, in effect as of the Effective Date and in accordance with Paragraph 16.12 of the IFTA™ International Standard Terms.

The prevailing party shall be entitled to reasonable outside attorney's fees.

15. IFTA™ Standard Terms

  • Amendments: May only be updated by mutual written agreement or by posting a revised version on this page.
